These Terms & Conditions ("Terms") govern your access to and use of the website located at this domain (the "Site") and any freight, delivery, warehousing, courier, or related logistics services (collectively, the "Services") provided by Intelligent Logistics LLC ("Intelligent Logistics," "we," "us," or "our"). By accessing the Site, requesting a quote, or engaging our Services, you ("you," the "Customer," or "user") agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.

1. About us

Intelligent Logistics LLC is a limited liability company based in the Bronx, New York, providing freight and delivery, last-mile delivery, courier and same-day service, warehousing and distribution, and third-party logistics (3PL) services. Intelligent Logistics LLC is a sister company of Community Health Advocates and operates as an independent legal entity.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. You may not:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site or its servers;
  • Introduce any viruses, malware, or other material that is malicious or technologically harmful; or
  • Reproduce, duplicate, copy, or resell any part of the Site in contravention of these Terms.

3. Quotes, orders & service agreements

Quotes provided through the Site, by phone, or by email are estimates based on the information you provide and are not binding until confirmed in writing by Intelligent Logistics. Pricing may be adjusted to reflect actual weight, dimensions, distance, accessorial charges, fuel surcharges, wait time, re-delivery, or other circumstances that differ from the information originally provided. A confirmed shipment, work order, rate confirmation, or written service agreement, together with these Terms, forms the agreement between you and Intelligent Logistics for that shipment.

4. Customer responsibilities

You are responsible for:

  • Providing accurate and complete shipment information, including contents, weight, dimensions, addresses, contacts, and any special handling requirements;
  • Ensuring that goods are properly packaged, labeled, and legal to transport;
  • Not tendering any prohibited, hazardous, illegal, or improperly declared materials without prior written agreement and required documentation; and
  • Paying all charges due for the Services in accordance with agreed terms.

5. Prohibited & restricted goods

We do not transport goods that are illegal, hazardous, perishable without agreement, or otherwise restricted unless expressly agreed in writing in advance and accompanied by all legally required documentation. We reserve the right to refuse, hold, or return any shipment that we reasonably believe to be unsafe, unlawful, or misdeclared.

6. Payment

Unless otherwise agreed in writing, invoices are due upon receipt. Late payments may be subject to interest and reasonable costs of collection permitted by law. We reserve the right to withhold delivery or suspend Services for accounts with overdue balances.

7. Liability & claims

Our liability for loss of or damage to goods is limited to the extent provided by applicable law and any governing transportation contract, bill of lading, or rate confirmation. To the fullest extent permitted by law, Intelligent Logistics shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to the Services or the Site.

Claims for loss or damage must be submitted in writing within the timeframes required by applicable law or the governing shipping documents. Failure to submit a timely claim may result in the claim being barred. We are not liable for delays or failures caused by events beyond our reasonable control, including weather, traffic, accidents, acts of God, labor disputes, government action, or force majeure.

8. Insurance

Intelligent Logistics maintains cargo and liability insurance consistent with industry practice and applicable law. Coverage limits apply. If you require additional or specialized coverage for high-value goods, please request it in writing before tendering the shipment.

9. Intellectual property

The Site and its content, including text, graphics, logos, and design, are the property of Intelligent Logistics LLC or its licensors and are protected by applicable intellectual property laws. You may not use our name, logo, or content without our prior written permission.

10. Third-party links

The Site may contain links to third-party websites. These links are provided for convenience only. We do not control and are not responsible for the content, policies, or practices of any third-party sites.

11. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

12. Indemnification

You agree to indemnify and hold harmless Intelligent Logistics LLC and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Site, or your tender of goods in violation of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in New York.
